TERMS & CONDITIONS

1. Introduction
1.1. At Pest & Property Solutions Ltd, we pride ourselves on delivering reliable, high-

2. Term
2.1. This Agreement begins on the commencement date stated in the Service Level Agreement / Survey Report & Order Form and, unless terminated earlier in line with these Terms, will remain in effect for the duration specified in that Agreement (the “Term”).
3. Services
3.1. The services to be provided by Pest & Property Solutions Ltd are detailed in the Service Level Agreement / Survey Report & Order Form (the “Services”). These will be delivered at the premises specified in the Agreement or otherwise agreed in writing.
3.2. Pest & Property Solutions Ltd will:
a) Deliver the Services in line with the Service Level Agreement / Survey Report & Order Form.
b) Carry out all work with reasonable skill, care, and diligence, in accordance with BPCA training standards and the relevant Code of Practice.
c) Ensure compliance with applicable statutory and regulatory requirements, including health and safety obligations.
d) Follow all reasonable written instructions provided by the Client relating to the performance of the Services.
4. Charges & Payment
4.1. The price for Services (the “Contract Price” or “Job Price”) is set out in the Service Level Agreement / Survey Report & Order Form. Prices exclude VAT but include all other charges and expenses.
4.2. Pest & Property Solutions Ltd will invoice the Client as stated in the Service Level Agreement. Where not specified:
Contract services will be invoiced quarterly in advance.

4.3. Payment is due within 7 days of the invoice date unless otherwise agreed in writing. Time is of the essence regarding payment.
4.4. Interest (plus reasonable debt recovery costs) will apply to overdue payments at 5% per annum above the Barclays Bank plc base rate until paid in full.
4.5. Pest & Property Solutions Ltd reserves the right to review and increase charges after the first anniversary of the Agreement. Clients will receive at least 28 days’ written notice of any increase and may terminate the Agreement within that notice period if they do not accept the revised charges.
5. Termination
5.1. This Agreement may be terminated:
a) Immediately by either party if the other suffers an insolvency event.
b) Immediately by either party if the other commits a material breach of this Agreement.
c) By Pest & Property Solutions Ltd with one month’s written notice.
5.2. Contracts are binding for a minimum of one year and will automatically continue on a rolling basis unless terminated at the end of the first year with three months’ written notice.
6. Liability & Insurance
6.1. Nothing in this Agreement excludes or limits either party’s liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
6.2. Pest & Property Solutions Ltd’s total liability (whether in contract, tort, negligence, breach of statutory duty, or otherwise) is limited to an annual aggregate amount equal to 12 months of Charges under this Agreement.
6.3. Pest & Property Solutions Ltd warrants that it maintains appropriate levels of Employers’ Liability and Public Liability Insurance for the duration of this Agreement.
7. General
7.1. This Agreement, together with all referenced documents, constitutes the entire understanding between Pest & Property Solutions Ltd and the Client. No other statements or representations will be binding unless agreed in writing.
7.2. These Terms override any conditions or terms sought to be imposed by the Client, whether communicated before or after this Agreement.
7.3. The Client warrants that the Premises are safe for Pest & Property Solutions Ltd staff, representatives, or subcontractors to deliver the Services, and must notify us of any hazards or precautions required to ensure their safety.
7.4. Pest & Property Solutions Ltd shall not be liable for any indirect, special, or consequential loss, including (but not limited to) loss of profit or revenue.
7.5. All warranties and conditions implied by statute or common law are excluded to the fullest extent permitted by law.
